These Terms of Service ("Terms") govern your access to and use of products and services provided by Arbor Genie LLC ("Arbor Genie," "we," "us," or "our"), including Fax Genie, Pathway Genie, and any other software, APIs, or services we offer (collectively, the "Services"). By accessing or using the Services, you agree to these Terms.
1. Eligibility and Accounts
The Services are intended for use by healthcare practices, their staff, and authorized administrators. You must be at least 18 years old and authorized to bind your organization to these Terms. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
2. Permitted Use
You may use the Services only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the Services in violation of applicable law, including HIPAA and other healthcare data regulations
- Access or attempt to access systems or data you are not authorized to access
- Reverse-engineer, decompile, or attempt to extract source code from the Services
- Resell, sublicense, or transfer access to the Services to unauthorized third parties
- Use the Services to transmit malware, spam, or unauthorized automated requests
3. HIPAA and Protected Health Information
If your use of the Services involves Protected Health Information (PHI) as defined under the Health Insurance Portability and Accountability Act (HIPAA), you must execute a Business Associate Agreement (BAA) with Arbor Genie before transmitting any PHI to or through the Services. Use of the Services without a signed BAA for PHI-involving workflows is prohibited. Contact chris@arborgenie.com to obtain a BAA.
4. Intellectual Property
All software, content, trademarks, and other intellectual property in or related to the Services are owned by Arbor Genie LLC or its licensors. Nothing in these Terms grants you any ownership interest in the Services. "Fax Genie" is a registered trademark of Arbor Genie LLC.
5. Data and Privacy
Our collection and use of information through the Services is described in our Privacy Policy. By using the Services, you agree to the practices described there.
6. Fees and Payment
Fees for the Services are set forth in your service agreement or order form. Fees are billed in advance and are non-refundable except as required by law or expressly stated in your agreement. We reserve the right to suspend access for non-payment after reasonable notice.
7. Service Availability and Changes
We strive to maintain high availability but do not guarantee uninterrupted access. We may modify, suspend, or discontinue features of the Services at any time, and will provide reasonable notice of material changes where practicable.
8. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARBOR GENIE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE OR THAT DEFECTS WILL BE CORRECTED.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL ARBOR GENIE'S LIABILITY EXCEED THE GREATER OF (A) THE FEES PAID BY YOU FOR THE SERVICES IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100). IN NO EVENT WILL ARBOR GENIE BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
10. Indemnification
You agree to defend, indemnify, and hold harmless Arbor Genie and its officers, directors, employees, and agents from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your use of the Services, your violation of these Terms, or your violation of any third-party rights.
11. Governing Law and Disputes
These Terms are governed by the laws of the State of Washington, without regard to conflict-of-law principles. Any dispute arising from these Terms or the Services will be resolved in the state or federal courts located in King County, Washington, and you consent to personal jurisdiction there.
12. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email or by posting a notice through the Services. Your continued use of the Services after the effective date of the updated Terms constitutes your acceptance.
